5. Intellectual Property Rights

Our Property

All content, materials, methodologies, and intellectual property developed by WJF Capital prior to or independent of client engagements remain our exclusive property.

Client Property

All client data, information, and pre-existing intellectual property remain the property of the client.

Work Product

Ownership of work product created during service delivery will be specified in individual service agreements. Unless otherwise agreed, clients receive a license to use deliverables for their intended business purposes.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our business relationship. This obligation survives the termination of services and continues for a period of five years.

7. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are due within 30 days of receipt unless otherwise specified
• Late payments may incur interest charges at the rate of 1.5% per month
• Services may be suspended for accounts more than 30 days overdue
• Client is responsible for all collection costs and legal fees

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However:

• Services are provided AS IS without warranties of any kind beyond those explicitly stated
• We do not guarantee specific results or outcomes
• We are not responsible for issues arising from client systems, data, or third-party services
• Technology recommendations are based on information available at the time

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the fees paid for the specific service giving rise to the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for loss of profits, data, or business opportunities
• Claims must be brought within one year of the event giving rise to the claim

10. Indemnification

You agree to indemnify and hold harmless WJF Capital, its officers, employees, and agents from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these terms
• Your violation of any third-party rights
• Your negligence or willful misconduct

11. Termination

Either party may terminate services according to the terms specified in individual service agreements. Upon termination:

• Client remains responsible for payment of services rendered
• We will return or destroy client confidential information as requested
• Provisions regarding confidentiality, intellectual property, and liability survive termination

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, acts of government, labor disputes, or technical failures.

13. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.

14. Governing Law and Dispute Resolution

These terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes shall be resolved through:

• Good faith negotiations between the parties
• Mediation if negotiations fail
• Binding arbitration in San Diego County, California
• Litigation in the state or federal courts of San Diego County as a last resort

15. Severability

16. Entire Agreement

These Terms of Service, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and WJF Capital regarding the use of our services.
